This is a starter template, not legal advice. Whoever operates this website and service must replace the bracketed placeholders and review the whole document with qualified counsel before publishing or relying on it. Requirements vary by country, state and industry.

Terms of Service

Last updated: [Date]

These terms are an agreement between you and [Company legal name] (“we”, “us”) for your use of this website and the Embedabot service we operate at [domain]. By creating an account or using the service, you agree to them. If you're using the service for an organization, you agree on its behalf and confirm you have authority to do so.

1.The software and the service

The Embedabot software is open source and licensed under the AGPL-3.0 license. That license, not these terms, governs your rights to copy, modify and distribute the code. These terms govern your use of the website and hosted service that we operate.

2.Your account

Provide accurate information, keep your password secure and tell us promptly about any unauthorized use. You're responsible for activity in your account and workspaces, including activity by users you invite.

3.Acceptable use

You agree not to use the service to:

  • Send messages to people who haven't given the consent required by law, or ignore opt-out requests.
  • Violate telecommunications, anti-spam, privacy or consumer protection laws, or carrier and messaging-platform rules, including those that apply to texting, calling and email in your jurisdiction.
  • Send unlawful, deceptive, harassing, hateful or infringing content.
  • Impersonate any person or organization, or mislead people about who they're communicating with.
  • Interfere with, probe or overload the service, or try to access other customers' data.

4.Your content and your contacts' data

You keep ownership of the content you put into the service, including knowledge base material, contacts and messages. You give us permission to host, process and transmit it only as needed to provide the service. You're responsible for having the rights and consents needed for the content and contact data you use.

5.AI-generated output

AI agents can make mistakes, misunderstand questions or produce inaccurate information. You're responsible for configuring your agents' knowledge and guardrails, monitoring their conversations, and reviewing output where accuracy matters. Approval mode is available for this purpose. AI output is not professional advice.

6.Third-party services

The service connects to providers you choose, such as messaging carriers, email services and language model providers. Your use of those providers is governed by their terms, and you're responsible for their fees unless we agree otherwise in writing.

7.Fees

[Describe any fees, billing terms, taxes and refund policy, or state that the service is currently free of charge.]

8.Changes and availability

We may change, suspend or discontinue parts of the service. We'll give reasonable notice of material changes when we can. We don't promise the service will be uninterrupted or error-free.

9.Suspension and termination

You can stop using the service and close your account at any time. We may suspend or terminate access if you breach these terms or if needed to protect the service, other users or the public. [Describe data export and deletion after termination.]

10.Disclaimers

To the extent permitted by law, the service is provided “as is” and “as available”, without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose and non-infringement.

11.Limitation of liability

To the extent permitted by law, we won't be liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data. Our total liability for any claim relating to the service is limited to [the greater of the amount you paid us in the 12 months before the claim or a fixed amount].

12.Indemnity

You'll defend and indemnify us against claims arising from your content, your messaging to your contacts, or your breach of these terms or applicable law.

13.Governing law

These terms are governed by the laws of [jurisdiction]. Disputes will be resolved in [venue], unless applicable law requires otherwise.

14.Changes to these terms

We may update these terms. We'll post the new version here and update the date above. For material changes we'll notify account holders in advance. Continuing to use the service after changes take effect means you accept them.
